You are duly authorized to act on behalf of the entity or organization listed on the order;
You acknowledge and agree that consumer protections available to individual (B2C) purchasers under federal or state law may not apply.

Unless otherwise stated in writing:
All prices are quoted in U.S. dollars (USD) and are exclusive of sales tax, shipping costs, insurance, and duties, which shall be the responsibility of the Business Customer;
Applicable sales tax will be charged unless a valid resale or tax exemption certificate is provided and accepted prior to invoicing;
Payment is due under the terms specified in the invoice, typically Net 14 or Net 30 from the invoice date;
Artego USA LLC may, at its discretion, require prepayment, especially for new accounts, custom orders, or high-volume shipments;
Late payments shall accrue interest at the rate of 1.5% per month (or the highest rate allowed by law) from the due date until paid in full.
In the event of non-payment or recurring delays, we reserve the right to:
Suspend future deliveries;
Revoke credit terms;
Place the account on hold;
Refer the balance to a collections agency and recover all legal and administrative costs associated with collection.
Unless otherwise agreed in writing, all shipments are made F.O.B. origin (Boca Raton, FL), meaning:
Risk of loss or damage transfers to the Business Customer upon handover to the carrier;
Delivery dates provided are estimates only and are not guaranteed;
Artego USA LLC shall not be liable for any losses arising from late delivery or failure to deliver due to carrier issues, force majeure events, or incorrect shipping instructions;
Business Customers are responsible for inspecting all deliveries upon receipt. Any discrepancies must be reported within 48 hours of delivery to qualify for replacement or credit.
If the delivery is refused or undeliverable due to an incorrect address provided by the customer, we reserve the right to charge for the return shipping and redelivery attempt.
All sales to Business Customers are considered final unless otherwise stated in writing. The following return policy applies:
Returns of non-defective products are not permitted without prior written authorization from Artego USA LLC;
Authorized returns may be subject to a restocking fee of up to 20% of the invoice value;
Return requests for damaged, defective, or incorrect items must be submitted in writing within five (5) business days of delivery, including photo evidence and invoice number;
We reserve the right to inspect returned products prior to issuing any refund, credit, or replacement;
Returned products must be unused, in their original packaging, and accompanied by a return authorization number.
Returns sent without prior approval or outside the stated time window will be refused and returned at the sender’s expense.
Unless explicitly stated in writing, Artego USA LLC does not provide any warranties for products sold to Business Customers. All products are sold “as is” with no warranties, express or implied.
To the extent permitted by law:
We disclaim all implied warranties, including those of merchantability, non-infringement, and fitness for a particular purpose;
Our total liability for any claim, whether in contract, tort, or otherwise, is limited to the net invoice value of the goods giving rise to the claim;
We shall not be liable for indirect, incidental, punitive, or consequential damages, including loss of revenue, business interruption, or reputational harm.
Business Customers agree:
Not to repackage, relabel, dilute, alter, or otherwise modify the products without prior written consent;
To sell products only through professional channels, including in-salon retail or professional B2B resale (unless otherwise authorized);
Not to offer Artego products on unauthorized third-party platforms such as Amazon, Walmart Marketplace, or eBay;
Not to use any trademarks, logos, or marketing assets of Artego USA LLC without written permission.
Violation of this clause may result in immediate termination of the business relationship and legal action for brand misuse or breach of contract.
All commercial information, including pricing, payment terms, order history, and correspondence with Artego USA LLC, shall be treated as confidential and may not be disclosed to third parties without prior written consent, except where required by law or regulatory bodies.
This confidentiality obligation survives the termination of the business relationship.
Artego USA LLC reserves the right to suspend or terminate its relationship with any Business Customer, without liability, under the following circumstances:
Material breach of these Terms;
Repeated payment default or credit risk;
Brand misuse or unauthorized resale;
Fraudulent conduct or reputational damage to the Company.
Termination does not release the Business Customer from outstanding payment obligations or accrued liabilities.
These Terms and any disputes arising hereunder shall be governed exclusively by the laws of the State of Florida, without regard to its conflict of law rules.
The parties irrevocably agree that any legal action or proceeding arising out of or in connection with these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and both parties consent to the personal jurisdiction of such courts.
